Gamla Ullevi Press Release

Acticut International AB (publ), together with Norconsult AB, has entered into a contract to resolve the problems related to excessive vibration emissions at Gamla Ullevi (Gotherberg FC stadium, Gothernberg, Sweden). The phenomenon of excessive and structure damaging vibration transmission to nearby residential areas occurs when supporters jump up and down in the stadium, and especially behind the goal area of the home fans.  The solution will be “total system based” and utilize patented technologies to create anti-forces that in real-time, neutralize the forces of the jumping supporters.

The contract requires that Acticut International will take part in the creation of the total system and deliver the anti-vibration control system. Acticut International has vast experience in solving vibration based challenges of this type and delivering total system solutions, together with other expert teams, is an important business strategy for the company. A team from Higab, Norconsult AB, Novoscen AB and Acticut International AB has been brought together to address the project and regular meetings will be held as the project moves forward. The system is estimated to be in place by summer 2010.

Multiple news flashes for Acticut International AB (publ)

- Deliveries to NASA (Houston) and University of Washington has completed and an expansion program is in progress
- A USA related industry consortium selects Acticut International’s Technology within the field of Sound & Vibration
- Registration of shares at BOLAGSVERKET has begun
- New EMISSION 2009

Acticut International AB’s emission was closed August 24 2009 and the final result achieved 18,5% of the capital sought. The Board of Director’s conclusion is that the result is a consequence of a number of larger new emissions running during the same time period. Also, the BoD team has concluded that the Swedish stock market interest in companies with new and innovative products has been vague and limited. Despite the result, the international market has shown a substantial interest in the company´s products and services and this has led to expanded interest and new orders.

The share registrations are completed relative to the shares for the first emission. All share holders are now connected to Euroclear (previously VPC). The shares that were sold in the second emission, with additional bonus shares from the main owners, are under registration at Bolagsverket. When this registration is finalized, the bonus shares will be added to the VP accounts.

To ensure that the promised bonus shares are handled correctly, the main owners (Thomas Lagö and Rolf Zimmergren) have transferred 224,000 shares to Aktieinvest FK (the company’s new emission bank) from their personal accounts. In total, the company has had SEK 1,939,750 added, relating to 775,900 new shares. After the registration at Bolagsverket, the company has 26,196,572 shares.

Strategic Business

During 2009, a number of strategic deliveries have been completed such as NASA Houston, Universities in the USA, and EON. The deliveries consist of the unique technology that the company team manufactures within the field of sound and vibration. The company’s system solutions have received excellent end user ratings and is on many company radars in terms of new possibilities. The product range has a strong focus on new and powerful technology for the energy sector and the environment. To enable effective deliveries, the company has signed a number of strategic business relationships.

Investors and Cooperation Partners

A company team in the USA has completed a process of Due Diligence on Acticut International AB and found that the product range and services will fit their corporate expansion plans extremely well. Therefore, they have decided to invest 1 million USD (about 7 million SEK) via an emission approach.

For Acticut International AB, this results in an expansion within the current business segments - Acticut, VibraTools and ROBOX. The cooperation will have strategic importance for the development of Acticut International. A Letter of Intent has recently been signed between the parties.

Acticut International’s management team and Board of Directors are positive with regard to ongoing discussions and negotiations. A first step, covering a 7 million SEK investment, is expected to be closed shortly and this will enhance the company’s capitalization needs. In addition to the capital infusion, a close cooperation relative to the company’s products and services is being discussed. The core executive team will travel  to the USA for further discussions.
